Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Voxi Media Inc. (“Voxi Media”, “we”, “us” or “our”). They cover voximedia.com (the “Site”), our AI image and video generator, Voxi Studio (the “Studio”), your Studio account, credits and payments, and any services we provide. By using the Site or the Studio, or by creating an account, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use them.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to create an account or buy credits. If you use the Studio for a business, you confirm that you have authority to bind that business to these Terms, and “you” includes that business.

2. Your account

• You sign in with a one-time link sent to your email address. Keep your email account secure, because anyone with access to it can sign in to your Studio account.
• Give us an accurate email address and keep it current. One person may hold one account, and accounts can’t be shared, sold or transferred.
• You are responsible for all activity on your account. Tell us right away at support@voximedia.com if you think someone has used it without permission.
• You can ask us to close your account at any time. Section 4 explains what happens to unused credits when an account closes.

3. Voxi Studio

The Studio lets you generate images and videos from text prompts and, where offered, from images you supply (“Inputs”). The results are “Outputs”. Generation is performed by third-party AI models that we access through providers such as kie.ai. The models available, their features, prices in credits and output quality may change at any time. The Studio is in early release: features may be added, changed or removed, and we don’t guarantee that it will always be available or error-free.

4. Credits

• What credits are. Credits are a prepaid, limited licence to use the Studio. They are not money, have no cash value, earn no interest and are not a deposit or stored-value account.
• Using credits. The number of credits a generation uses is shown on the Generate button before you start. Credits are reserved when a job starts. If a job fails on our side or the provider’s, the reserved credits are returned to your balance automatically.
• Refused prompts. A job a model refuses because of its own safety rules counts as a failed job, and its credits are returned. Repeated attempts to get around safety rules may lead to suspension under Section 12.
• Expiry. Purchased credits don’t expire while your account is open. Promotional or bonus credits may expire, as stated when we grant them.
• No transfer. Credits can’t be transferred, sold, or exchanged for cash, except where the law requires it.
• Closed accounts. Unused credits are forfeited if you close your account or we terminate it for a breach of these Terms. If we close the Studio for everyone, we will refund unused purchased credits pro rata.
• Errors. If we credit your account by mistake, we may correct the balance.

5. Payments & refunds

• Prices. Credit packs are priced in US dollars and shown before checkout: 1,000 credits for $10, 5,000 credits for $45 and 10,000 credits for $80. We may change pack prices in the future, but a change never affects packs you have already bought.
• Payment processing. Payments are processed by Stripe. We never see or store your full card number. You authorise us and Stripe to charge your payment method for the pack you choose. You may also have to pay taxes, which are shown at checkout where they apply.
• Delivery. Credits are added to your account once Stripe confirms the payment, usually within a few seconds.
• Refunds. All sales are final, except as set out here or where the law requires otherwise. You may ask for a refund within 14 days of purchase if you haven’t used any of the credits from that pack. Credits returned for failed jobs are refunded as credits, not cash. To request a refund, email support@voximedia.com.
• Consumer withdrawal rights. If you are a consumer in the EU or UK, you agree that the Studio’s digital service starts as soon as you use purchased credits. You acknowledge that once you have used credits, you lose your right to withdraw for those credits.
• Chargebacks. If you dispute a valid charge with your bank, we may suspend your account and remove the related credits while the dispute is open.

6. Acceptable use

You must not use the Studio, or ask it, to create, upload or share content that:

• sexualises minors, or depicts minors in any sexual or suggestive way
• is sexually explicit, or shows nudity of a real, identifiable person
• depicts a real person without their consent, impersonates someone, or could deceive people into believing a real person said or did something they didn’t (including deepfakes of politicians, public figures or private individuals)
• harasses, threatens, defames or invades the privacy of anyone, or promotes hate or violence against people based on a protected characteristic
• promotes terrorism, violent extremism, self-harm, or illegal weapons or drugs
• infringes copyright, trademark or other rights, including using another person’s images as Inputs without permission
• is misleading election or political material, or fake documents, IDs or evidence
• is spam, malware or fraud, or breaks any law

You also must not get around credit limits, safety filters or rate limits; scrape the Studio or access it automatically, except through features we provide; reverse-engineer it; resell access; or use Outputs to train a model that competes with the Studio. We may review prompts and Outputs to enforce these rules, and we may report illegal content to the authorities.

7. Your content & outputs

• Inputs. You keep ownership of your Inputs. You confirm that you have every right needed to use them, including the consent of any person who appears in them.
• Outputs. As between you and Voxi Media, and to the extent the law allows, you own the Outputs you generate, and you may use them for any lawful purpose, including commercial use. In some countries, purely AI-generated material may not be protected by copyright. Other users may receive similar Outputs from similar prompts, and those are theirs.
• Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, store, process and display your Inputs and Outputs only to run, secure and improve the Studio, support you and enforce these Terms. We will not use your Outputs in our marketing without your permission. We don’t train our own AI models on your content.
• Labelling. You agree not to present Outputs as human-made, or as real photos or recordings of real events, where doing so would mislead people. Where the law requires it, label Outputs as AI-generated.
• Storage. We keep your recent generations so you can view them under Recent. Provider download links may expire, so download anything you want to keep. We don’t guarantee long-term storage of Outputs.

8. AI limitations

AI Outputs are generated automatically and can be inaccurate, unexpected or offensive. They may also resemble existing works, people or brands. Review every Output before you use it. You are responsible for how you use Outputs, including checking them for third-party rights before any commercial use.

9. Agency services

Production, advertising, app and other services from Voxi Media’s agency are governed by a separate proposal, statement of work or agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement takes priority for those services.

10. Our intellectual property

Voxi Media or its licensors own the Site and the Studio, including their software, design, text and graphics, and our trademarks, including “Voxi Media”, “Voxi Studio” and our logos. Apart from the rights these Terms give you, we keep all rights. Client work shown on the Site is displayed with permission and belongs to its owners. If you send us feedback, we may use it without any obligation to you.

11. Third-party services

The Studio relies on third parties, including Supabase (accounts and data), kie.ai and the AI model makers it connects to (generation), Stripe (payments), Hostinger (website hosting) and email delivery providers. Their own terms may also apply. The Site also links to platforms that Voxi Media operates, such as AvatarMaker.ai, TrueInfluencer.ai, AI Prompts Market, AiSolutionGuide, AI Powered Income, dancr.me and Boat Responsibly, and each has its own terms. We are not responsible for third-party services we don’t control.

12. Suspension & termination

We may suspend or close your account, remove content or refuse service, without notice, if you breach these Terms, create risk or legal exposure for us or others, or if the law requires it. If we close your account for a reason other than your breach, we will refund unused purchased credits. Sections 4 (Closed accounts), 7, 8 and 10 to 16 continue to apply after your account is closed.

13. Disclaimers

The Site, the Studio and all Outputs are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Studio will be uninterrupted or secure, or that Outputs will meet your needs. Statistics and examples on the Site are for illustration only.

14. Limitation of liability

To the fullest extent the law allows, Voxi Media is not liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Site or the Studio is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) USD $100. Nothing in these Terms limits liability that the law does not allow us to limit, including your statutory rights as a consumer.

15. Indemnity

You agree to defend, indemnify and hold harmless Voxi Media and its officers, employees and contractors from any claims, losses or expenses, including reasonable legal fees, that arise from your Inputs, your use of Outputs, your breach of these Terms or your violation of anyone’s rights.

16. Disputes & governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact us at legal@voximedia.com and to try to resolve the dispute informally for 30 days. After that, the state and federal courts located in Broward County, Florida have exclusive jurisdiction, unless the consumer laws where you live give you the right to bring a claim locally.

17. Changes

We may update these Terms. If a change is material, we will tell you by email or in the Studio before it takes effect. If you keep using the Site or the Studio after that, you accept the updated Terms. A change never reduces the credits you have already bought.
